1. Agreement to terms

These Terms & Conditions ("Terms") govern your access to and use of Chaaty, including our website, dashboard, embeddable chat widget, and related services (collectively, the "Service"), operated by Chaaty ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using Chaaty on behalf of a business, you confirm you have the authority to bind that business to these Terms.

2. Accounts

• You must provide accurate information when creating your account and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You must notify us promptly of any unauthorized use of your account.
• You must be at least 16 years old to create an account.

3. Plans, billing & cancellation

Chaaty offers a free plan and several paid plans (Basic, Pro, Business, Enterprise), each with different limits on the number of chatbots, monthly messages, and widget views. Current pricing and limits are listed on our pricing page.

• Paid plans are billed in advance, monthly or yearly, via Stripe.
• You can upgrade, downgrade, or cancel your subscription at any time from your dashboard's Billing page.
• Cancelling a paid plan stops future billing; your account reverts to the free plan's limits at the end of the current billing period.
• We do not provide prorated refunds for partial billing periods, except where required by law.
• If a payment fails, we may suspend access to paid features until the issue is resolved.

4. Acceptable use

You agree not to use Chaaty to:

• Build chatbots that generate illegal, fraudulent, deceptive, hateful, or sexually explicit content.
• Impersonate any person or entity, or misrepresent your affiliation with one.
• Collect personal data from website visitors without a lawful basis or without disclosing this to them.
• Attempt to reverse-engineer, scrape, or overload the Service, or circumvent plan limits.
• Use the Service to spam, harass, or send unsolicited communications.
• Upload malicious files or attempt to compromise the security of the Service.

We may suspend or terminate accounts that violate this section without prior notice.

5. Your content & chatbot data

You retain ownership of the content you upload to train your chatbot (documents, URLs, FAQs, custom instructions) and of the conversation data your chatbot collects from your website visitors.

By uploading content, you grant Chaaty a limited license to store, process, and use that content solely to operate and improve your chatbot's responses. You confirm that you have the necessary rights to upload and use this content, and that doing so does not infringe any third party's rights.

6. AI-generated content disclaimer

Chaaty is not liable for any decisions made, transactions completed, or damages incurred as a result of relying on chatbot-generated responses, whether by you or your website visitors.

7. Embedding the widget

You may embed your Chaaty widget on any website you own or have authorization to modify, by adding the provided embed script. Free-plan widgets display a "Powered by Chaaty" badge; paid plans can remove this badge.

You are responsible for ensuring your use of the widget complies with applicable laws in the jurisdictions where your website operates, including disclosure obligations to your visitors.

8. Intellectual property

Chaaty, its logo, design, and underlying software are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding beyond using the Service as intended.

9. Service availability

We aim to keep Chaaty available at all times but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime due to factors outside our control, including outages of third-party providers we depend on (Supabase, Anthropic, Stripe, and our hosting infrastructure).

10. Termination

You may delete your account at any time from your Settings page. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ceases immediately, and your data will be deleted per our Privacy Policy's retention schedule.

11. Limitation of liability

To the maximum extent permitted by law, Chaaty and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or continuously available.

13. Governing law

These Terms are governed by the laws of Portugal, without regard to conflict-of-law principles, and without prejudice to any mandatory consumer-protection rights you may have under the laws of your country of residence.

14. Changes to these terms

We may update these Terms from time to time. We will notify active account holders of material changes by email or via a dashboard notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
